The Registration of Business Names Act is an Act which provides for the registration of individuals and firms to carry on business under business names.

A ‘business name’ means the name or style under which any business is carried on whether in partnership or otherwise. In essence, the Act requires every individual or firm having a place of business and carrying on business under a business name which does not consist of the true surname, or the true surnames of the partners, or the corporate name of all the partners who are corporations to register the business name in accordance with the Act.

Every individual or firm having a place of business in Barbados and carrying on business under a business name which does not consist of their true name is required to register that name with the Registrar within fourteen (14) days after the commencement of business.

The following definitions are contained in the Act:-
  • individual” means a natural person and does not include a corporation;
  • “firm” means an unincorporated body of two or more individuals, or one or more individuals and one or more corporations, or two or more corporations, who have entered into partnership with one another with a view to carrying on business for profit, but does not include any unincorporated company which was in existence on the 26th day of January, 1882;
  • “foreign firm” means any firm, individual, or corporation whose principal place of business is situated outside the Commonwealth.

(1) The particulars required for Registration of persons and firms are as follows:

  • Name of the Business
  • General Nature of Business
  • Principal Place of Business
  • Full Name, Address, Nationality and Occupation of each individual; and
  • Where a company is to be registered as a partner of a firm, the Name and Registered Office of the Company.

(2) Where the firm, individual or corporation required to be registered carries on business as nominee or trustee, in addition to the particulars set out above the following additional particulars are required

  • The present Christian name and surname, any former name, nationality and, if that nationality is not the nationality of origin, the nationality of origin, and usual residence, or, as the case may be, the corporate name, of every person or corporation on whose behalf the business is carried on:
  • Provided that if the business is carried on under any trust and any of the beneficiaries are a class of children or other persons, a description of the class shall be sufficient.

(3) Where the firm, individual or corporation required to be registered carries on business as general agent for any foreign firm, in addition to the particulars set out above the following additional particulars are required:

  • The business name and address of the firm or person as agent for whom the business is carried on:
  • Provided that if the business is carried on as agent for three or more foreign firms it shall be sufficient to state the fact that the business is so carried on, specifying the countries in which such foreign firms carry on business.

(4) The application must be submitted in the prescribed form (either Form 1 or 2 as appropriate) and must be signed by all individuals seeking to be registered and in the case of a corporation, by a director or the Secretary.

1.  The registration of a business name does not confer on the applicant any separate legal personality as is the case with the registration of a company.

2. From time to time, the question arises as to whether a company can apply by itself for registration to carry on its business under a business name. Under the Registration of Business Names Act, a company can only be registered as a partner of a “firm” and not by itself unless it is doing so as a “foreign firm” or as a trustee or a nominee.[See definitions of “individual” “firm” and “foreign firm” discussed above.]
